REGULATIONS OF THE SALES PLATFORM FOR B2B BUSINESS CLIENTS.

I. DEFINITIONS:

1. Kuchnie Świata - Kuchnie Świata S.A. based in Warsaw (01-708), at ul. Słodowiec 10/10, entered in the Register of Entrepreneurs of the National Court Register maintained by the District Court for the capital city of Warsaw, XIII Commercial Division of the National Court Register under KRS number 0000271103, having NIP number 1180039859, REGON number 010301640, with a fully paid share capital of 1,689,000.00 PLN.

2. Client – a legal entity conducting business activities purchasing products from Kuchnie Świata S.A. for the purposes of conducting this business registered on the B2B online platform.

3. Regulations – these regulations.

4. Products – products available on the B2B online platform.

5. B2B online platform – an online platform operating at b2b.kuchnieswiata.com.pl, enabling the conclusion of sales contracts between the Client and Kuchnie Świata S.A.

6. Business day - a day from Monday to Friday between 8:00 AM and 4:00 PM excluding public holidays.



II. REGISTRATION:

1. Registration is required to use the B2B platform.

2. To register on the B2B platform, you must fill out the registration form on the homepage.   

3. Kuchnie Świata S.A. will consider the request within 3 business days from the moment of receiving the application.

4. Kuchnie Świata S.A. reserves the right to refuse registration without providing a reason.

5. Kuchnie Świata S.A. will inform the Client about the registration of their account on the B2B Platform via email and SMS (one-time activation link for the account).

6. Submitting a registration application means acceptance of the Regulations.



III. ORDERS:

1. Kuchnie Świata S.A. will make every effort to ensure that product descriptions and quantities are consistent with the actual state.

2. Kuchnie Świata S.A. has the right to change the content of the B2B Platform, in particular to start and end promotional actions, change descriptions and prices of products at any time.

3. The content of the B2B Platform does not constitute an offer within the meaning of the Civil Code, but merely information enabling the Client to submit an offer to purchase products from Kuchnie Świata S.A.

4. Kuchnie Świata S.A. will confirm or refuse to fulfill the order after receiving the Client's offer. The sales contract is considered concluded upon confirmation of the Client's offer by Kuchnie Świata S.A.

5. The logistical minimum is determined by each Branch of Kuchnie Świata S.A. based on the distribution plan (distribution plan available in the client panel on the platform).

6. By making a purchase through the platform/application, the client confirms the purchase with the obligation to pay.

7. In the event of unavailability of ordered products and inability to fulfill the order, Kuchnie Świata S.A. will notify the Client of this fact via email or phone.


IV. PAYMENT:

1. The B2B Platform allows payment for invoices via the przelewy24 service.

2. The Client authorizes Kuchnie Świata S.A. to issue VAT invoices without the signature of their representatives.

3. By accepting the Regulations, the Client agrees to the issuance and delivery in electronic form, in PDF format:

- invoices,

- corrective invoices,

- duplicates of invoices,

- etc.

to the email address provided by the Client during the registration process on the B2B online platform.

4. Issuing and delivering VAT invoices in electronic form does not violate the provisions of the Act of March 11, 2004 on goods and services tax (i.e. Journal of Laws of 2016, item 710), in particular Article 2 point 32, Article 106g paragraph 3, Article 106m paragraph 1 and Article 106n of the Act. 

5. VAT invoices in electronic form will be sent to Clients from the email address of Kuchnie Świata: auto.fv@kuchnieswiata.com.pl

6. The date of delivery by Kuchnie Świata S.A. of the VAT invoice in electronic form and simultaneously the date of its receipt by the Client is considered the day of receipt of the email (server) message with the attached invoice by the Client.

7. In the event of a change in the Client's data, in particular the email address, they are obliged to promptly provide Kuchnie Świata S.A. with their current data. In the absence of notification of a change in the email address, all correspondence directed to the previously valid email is considered correctly delivered and has all legal effects.

8. Kuchnie Świata S.A. will send VAT invoices in paper form if technical or formal obstacles prevent sending invoices to the Client electronically. The Client will be informed of this fact in advance (sales documents available for download in the client panel).

9. Withdrawal of acceptance for sending VAT invoices in electronic form may occur in writing or electronically.

10. The total amount to be paid, including the price of ordered products, is indicated in the order.

11. The value of the order may change due to products in the unit of measure. „kg”.



V. DELIVERY:

1. Kuchnie Świata S.A. will deliver the ordered products using its own transport or through another selected carrier.

2. Delivery will be carried out according to the distribution plan provided by each Branch of Kuchnie Świata S.A. The calendar indicating possible delivery dates is visible in the client panel.

3. The Client can agree with Kuchnie Świata S.A. on an individual delivery schedule.

4. The Client or a person authorized by them (where a person authorized is considered to be a person active at the business premises or at another location indicated as the delivery place by the client, e.g., head chef, cook, waiter) will receive the products.

5. Upon receipt of the products, the Client or a person authorized by them is particularly obliged to check the compliance of the delivery with the delivery document.

6. The above receipt is confirmed by a signature on the delivery document. The document signed by the client is confirmation of receiving a complete delivery.

7. In the event of comments on the delivery, the Client or a person authorized by them will place their comments on the delivery document and submit a complaint in the manner provided in point VI (below).

8. In the case of unjustified refusal to accept or inability to deliver products for reasons attributable to the Client, Kuchnie Świata S.A. may charge the Client for delivery costs.



VI. COMPLAINTS:

1. Complaints should be submitted through the complaint panel available on the client profile at the link https://b2b.kuchnieswiata.com.pl/issues/complaints 

2. A properly prepared complaint will be considered within 7 days from the date of submission. If additional information from the Client is necessary to consider the complaint, returning the product to Kuchnie Świata S.A. or conducting laboratory tests of the product, the deadline for considering the complaint will be extended by the time of these activities.

3. Kuchnie Świata S.A. has the right to request additional information from the Client necessary to consider the complaint.

4. Providing incomplete information and refusal to provide additional explanations are grounds for rejecting the complaint.
5. The response to the complaint will be sent to the Client at the email address provided by the client.


VII. PERSONAL DATA PROTECTION:

1. In connection with the Regulation of the European Parliament and of the Council (EU) 2016/679 of April 27, 2016, on the protection of natural persons in relation to the processing of personal data and on the free movement of such data and repealing Directive 95/46/EC (General Data Protection Regulation) and the Act of May 10, 2018, on the protection of personal data, we are obliged to inform you that the Administrator of your personal data is Kuchnie Świata S.A. registered in Warsaw 01-708, ul. Słodowiec 10/10.

2. Your personal data will be processed for the purpose of:
a. placing and fulfilling orders;
b. issuing VAT invoices and maintaining VAT records;
based on Article 6 paragraph 1 letter b), c), f) of the GDPR.

3. Only if you give separate voluntary consent, we will:
a. process your personal data for marketing purposes;
b. share your personal data with business partners of Kuchnie Świata S.A. for them to carry out their own marketing activities.
based on Article 6 paragraph 1 letter a) of the GDPR.

4. Providing personal data is voluntary and constitutes a condition for concluding a sales contract. Providing personal data to the extent that allows us to issue a VAT invoice and maintain VAT records is a statutory requirement and results from Article 106e and Article 125 of the Act on goods and services tax.

5. Your personal data may be shared with other entities cooperating with Kuchnie Świata S.A. to the extent and for the purpose of which we use the support of these entities in the area of IT service, sending newsletters (after obtaining consent for subscription), sending ordered goods, and in cases where the law requires, also to state authorities.

6. Your personal data will be stored by us:
a. for the duration of your account on the B2B Platform, and after this period until the expiration of claims;
b. for marketing purposes, until you object or withdraw your consent to data processing, and after that period for the time in which it may be necessary to prove to state authorities that our marketing activities towards you were lawful.

7. You have the right to:
a. access your personal data, correct it, delete it or limit its processing;
b. transfer data and file a complaint with a supervisory authority;
c. object to the processing of personal data for marketing purposes.

9. You can withdraw your consent to the processing of your personal data at any time to the extent that you granted it. Withdrawal of consent will not affect the processing that was carried out based on your consent before its withdrawal. Withdrawal of consent can be made by sending a written and signed request to the commercial office address: Kuchnie Świata S.A., Łomna, ul. 10. Personal data will not be subject to profiling.

11. We do not transfer your data outside Poland/EU/European Economic Area.



VIII. LOGIN DATA:

1. The Client may not share their login data for the B2B Platform with third parties.

2. The Client is responsible for all actions taken using their login data, and all actions are treated as their own.

3. In the event of loss of login data, the client is obliged to change it immediately via the B2B Platform. If it is impossible to change the login data, the Client is obliged to contact Kuchnie Świata S.A. at the phone number 500-121-906 or via email b2b@kuchnieswiata.com.pl

4. The account is assigned to a specific client. Transferring the account to another entity requires the consent of Kuchnie Świata S.A.



IX. TECHNICAL REQUIREMENTS:

1. To use the B2B Platform, an internet connection and a web browser or mobile device to use the application are required.



X. FINAL PROVISIONS:

1. Kuchnie Świata S.A. reserves the right to change the Regulations. Any changes to the Regulations come into effect at a future date specified by Kuchnie Świata S.A.

2. The Client has the right to resign from using the B2B Platform via email at b2b@kuchnieswiata.com.pl . In the event of resignation, the client's account will be deleted.

3. In the event of a breach of the Regulations by the Client or using the B2B Platform contrary to its purpose, Kuchnie Świata S.A. has the right to suspend and delete the Client's account at its discretion.


4. Any disputes related to the Client's use of the B2B Platform and transactions carried out through it will be subject to Polish law, and the competent court for Kuchnie Świata S.A. will be the local court.
